These Terms of Service (“Terms”) are a legal agreement between you and Artist Manager OS (“Artist Manager OS”, “we”, “our”, “us”). They govern your access to and use of the Artist Manager OS website, application, and related services (collectively, the “Service”).

If you do not agree to these Terms, do not use the Service.

1. Who Can Use the Service

  • You must be at least 13 years old to use the Service.
  • If you are under the age of majority where you live, you represent that your parent/guardian has reviewed and agrees to these Terms.

2. Your Account

  • You are responsible for keeping your login credentials secure.
  • You are responsible for activity under your account.
  • You agree to provide accurate information and keep it up to date.

3. Plans, Trials, and Billing

3.1 Free vs. Pro

The Service may offer:

  • a Free plan that lets you manage your own information in the app, and
  • a Pro plan that unlocks certain features such as public sharing (e.g., EPK links) and advanced automation.

Plan details may change over time. Current details are shown in the app and in our Pricing & Subscription page.

3.2 14‑Day Pro Trial (Card Upfront)

If you start a Pro trial, we may require you to provide a payment method at signup for the trial.

  • During the trial, you can cancel at any time before the trial ends to avoid being charged.
  • If you do not cancel before the trial ends, your subscription will automatically convert to a paid Pro subscription and you authorize us to charge the payment method on file.

3.3 Payments, Auto‑Renewal, and Taxes

  • Paid subscriptions renew automatically until canceled.
  • You authorize us (and our payment processor) to charge your payment method for recurring fees, taxes, and any other amounts you agree to.
  • Taxes may be charged where required.

3.4 Refunds

Except where required by law, fees are non-refundable and we do not provide prorated refunds for partial subscription periods.

4. Your Content and Permissions

4.1 Your Content

“Your Content” includes information and materials you upload to, create in, or store through the Service (for example: gig details, contacts, social drafts, notes, and uploaded media).

As between you and Artist Manager OS:

  • You retain ownership of Your Content.
  • You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Your Content only to provide and operate the Service, secure it, prevent abuse, and improve reliability.

4.2 Public Sharing

Some features let you share content publicly (for example via a public EPK link). You control whether to publish or share. You are responsible for what you choose to make public.

4.3 AI/Automation Features

If the Service offers AI or automation features:

  • Outputs may be generated based on Your Content and your instructions.
  • You are responsible for reviewing outputs before using or publishing them.
  • As between you and Artist Manager OS, you own the outputs generated for you to the extent permitted by applicable law.

5. Acceptable Use

You agree not to:

  • break the law using the Service;
  • attempt to access accounts or data that are not yours;
  • interfere with or disrupt the Service, including by scraping, probing, or overloading;
  • upload malware or use the Service to distribute harmful code;
  • infringe intellectual property, privacy, or other rights.

We may suspend or terminate access if we reasonably believe your use violates these Terms or creates risk to the Service or others.

6. Third‑Party Services

The Service may integrate with third parties (for example, payments or AI providers). Your use of third‑party services may be subject to their terms.

7. Termination and Data

7.1 Cancellation

You can cancel a paid subscription through the Service (when available) or by contacting support.

7.2 Termination

We may suspend or terminate your access if:

  • you violate these Terms,
  • we are required to do so by law, or
  • your use creates security, operational, or legal risk.

7.3 Data Export and Deletion

You can request deletion of your account. Some data may be retained as required by law, for security, dispute resolution, or legitimate business purposes. See the Privacy Policy for more details.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

We do not guarantee the Service will be uninterrupted, error‑free, or that data loss will never occur.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • ARTIST MANAGER OS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
  • IN ALL CASES, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations. In that case, these limitations apply to the maximum extent permitted.

10. Indemnity

You agree to indemnify and hold harmless Artist Manager OS from claims arising out of (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms, to the extent permitted by law.

11. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you (for example, in-app or by email). Continued use of the Service after the effective date means you accept the updated Terms.

4.4 Refunds

  • Trial charges ($2.00) are non-refundable
  • Monthly/Annual subscriptions: Pro-rated refunds at our discretion
  • No refunds for partial billing periods

4.5 Cancellation

  • Cancel anytime via Account Settings → Billing Information → Manage Subscription
  • Access continues until end of billing period
  • No partial refunds for early cancellation

5. User Content

5.1 Your Content

You retain all rights to content you create, upload, or store in the Service ("User Content").

5.2 License to Us

You grant us a limited, non-exclusive license to:

  • Store and display your User Content
  • Process your User Content to provide the Service
  • Create backups for service continuity

5.3 Content Restrictions

You agree NOT to upload content that:

  • Violates laws or regulations
  • Infringes intellectual property rights
  • Contains malware or malicious code
  • Is obscene, defamatory, or harassing
  • Violates third-party rights

5.4 Content Removal

We reserve the right to remove content that violates these Terms without notice.

6. Prohibited Uses

You agree NOT to:

  • Use the Service for illegal purposes
  • Attempt to gain unauthorized access to the Service
  • Interfere with Service operation or security
  • Use automated systems (bots) without permission
  • Resell or redistribute the Service
  • Reverse engineer or decompile the Service
  • Harass or abuse other users or staff

7. Intellectual Property

7.1 Our Property

The Service, including software, design, text, graphics, and logos, is owned by Artist Management OS and protected by copyright, trademark, and other laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

8. Third-Party Services

The Service may integrate with third-party services (e.g., Stripe for payments, Supabase for data storage). Your use of these services is subject to their respective terms.

9. Data and Privacy

Your privacy is important. See our Privacy Policy for details on how we collect, use, and protect your data.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • Results from using the Service will meet your requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount you paid in the last 12 months
  • This applies even if we've been advised of potential damages

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of third-party rights
  • Your User Content

13. Service Modifications

We reserve the right to:

  • Modify or discontinue the Service (or any part) at any time
  • Change pricing with 30-day notice to existing subscribers
  • Update these Terms (we'll notify you of material changes)

14. Account Termination

14.1 By You

You may terminate your account at any time via Account Settings.

14.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Use the Service fraudulently
  • Fail to pay subscription fees
  • Engage in abusive behavior

14.3 Effect of Termination

  • Your access will cease
  • We may delete your User Content after 30 days
  • Payment obligations survive termination

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

15.2 Arbitration

Any disputes shall be resolved through binding arbitration rather than in court, except for:

  • Small claims court actions
  • Injunctive relief for intellectual property violations

15.3 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action.

16. General Provisions

16.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Service.

16.2 Severability

If any provision is found invalid, the remaining provisions remain in effect.

16.3 No Waiver

Our failure to enforce a provision does not waive our right to enforce it later.

16.4 Assignment

You may not assign these Terms without our consent. We may assign our rights freely.

16.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our control.
